Overview
April F. Holland works with companies through all stages of mergers and acquisitions matters on both the buy and sell sides. She advises clients in fund formation and 506(b) private placement offerings, including the negotiation and drafting of operating agreements, limited partnership agreements and ancillary documents, and assists in the subsequent deploying of capital raised for use in mergers and acquisitions matters. She also represents private family office clients in a number of venture capital/angel investment and other miscellaneous corporate transactions. Ms. Holland counsels individuals and companies in a wide range of general corporate law matters, including but not limited to, venture capital and seed investment transactions, securities and investment advisory matters, franchise matters, corporate governance issues, commercial sales agreements, joint venture agreements, SaaS agreements, supply and distribution agreements, and various service agreements. She has experience in industries ranging from chemicals production, flooring, bottling, biotechnology, flexible packaging manufacturing, transportation and logistics, consumer products, auto parts manufacturing, and insurance.

Experience
Mergers and Acquisitions Matters
- Represented a highly-specialized machine shop in the sale of substantially all of its assets to a strategic buyer.
- Represented a large privately held bottling company in connection with the acquisition of substantially all of the assets of an equipment servicing business located in multiple states and the negotiation of a two-year transition plan regarding the same.
- Represented a publicly-traded flooring company in connection with a carve-out disposition of assets related to certain commercial product lines.
- Represented a privately held business in connection with the sale of substantially all of the assets of 23 franchised restaurants.
- Represented a group of commercial security, aviation maintenance, and commercial landscaping companies in connection with the sale of substantially all of their respective assets to a strategic buyer.
- Represented a private equity fund in multiple acquisitions of consumer packaged goods brands.
- Represented a private equity fund in multiple acquisitions of commercial kitchen cleaning services businesses.
Fund Formation/Private Investment Matters
- Represented an issuer in the structuring of a 506(b) offering and the drafting of a private placement memorandum for the purpose of acquiring consumer packaged goods brands.
- Represented an issuer in the structuring of two 506(b) offerings and the drafting of a private placement memorandum in connection with the same for the purpose of developing and building cocktail bar concepts and unique restaurant concepts throughout the Southeast.
- Represented an issuer in the structuring of two 506(b) offerings and the drafting of a private placement memorandum in connection with the same for the purpose of building Walmart Neighborhood Markets throughout the Southeast.
- Represented a commercial real estate sponsor entity in the structuring of a joint venture for the purpose of acquiring mobile home parks throughout the Southeast.
- Represented a first-time commercial real estate sponsor entity in the structuring of a joint venture for the purpose of acquiring RV campgrounds throughout the East Coast.
- Represented an investor group in a controlling investment in a Cayman Islands company developing a medical device for spinal injuries.
Other Matters
- Represent several family offices on an on-going basis in venture capital/angel investment activity including, but not limited to, preferred equity investments, convertible debt, and asset-backed lending.
- Represented a Japanese auto parts manufacturer in connection with the unwinding of a joint venture with a German company spanning five countries.
- Provide on a on-going basis “auxiliary” support for in-house counsel on commercial transactions for manufacturers, a managed services company, and software-as-a-service companies
- Represent freight forwarders, freight brokers, and transportation companies on general corporate needs.
- Represent franchisors and franchisees with state securities regulatory filings.
