Overview
Doug Elkins focuses his practice in the area of corporate law, mergers and acquisitions, securities and general business representation.
Doug's practice largely surrounds strategic international and domestic merger and acquisition transactions and private equity, including representation of strategic acquirers, sellers, private equity funds and management funds. Doug has also been involved in a number of significant acquisitions, joint ventures, divestitures, syndications and other transactional matters in the healthcare industry in various markets across the United States.
Doug graduated magna cum laude from the University of Tennessee College of Law and is a native of Chattanooga. He received his undergraduate degree in History, with honors, from Davidson College.

- Counseled a private equity fund in the roll-up acquisition of restaurants.
- Counseled a manufacturer of stoves in the acquisition of certain assets and intellectual property for approximately $5 million.
- Counseled a private equity fund in a disposition of a manufacturer of industrial magnetic products for approximately $120 million.
- Counseled a publicly-traded bank holding company in connection with its merger with a regional bank holding company resulting in a combined enterprise holding of approximately $950 million in total assets.
- Counseled a private equity fund in the add-on acquisition of a manufacturer of particle processing equipment for approximately $30 million.
- Counseled a private equity fund in the acquisition of a sports equipment manufacturer for approximately $10 million.
- Counseled a private equity fund in the add-on acquisition of a manufacturer of particle processing equipment for approximately $30 million.
- Counseled a healthcare company in the private offering and sale of preferred stock to investors in the approximate amount of $30 million.
- Counseled a healthcare lending specialty institution in the private offering and sale of preferred stock to investors in the approximate amount of $8 million.
- Counseled healthcare IT company in the sale of 100% of its issued and outstanding capital interests for approximately $10 million.
- Assisted in advising a hospital in the disposition of a laboratory for approximately $70 million.
- Advised various health systems in the acquisition, syndication, joint venture and disposition of ambulatory surgery centers and other assets.
- Assisted in advising London based, San Francisco based and Singapore based management funds in their investment in the Thai infrastructure and transportation sector in the approximate amount of USD $700 million.
- Assisted in advising the operator of a mass transit system in the public offering of approximately THB 12 billion (USD $364 million) of debentures to finance its operations and debt restructuring.
- Advised Bangkok-based public company engaged in the manufacture and distribution of processed foods in the acquisition of a Vietnam-based distributor of processed foods and energy drinks.
- Advised World Bank financing subsidiary in the USD $26 million financing of a Bangkok based asset management company.
- Counseled underwriters in the purchase of securities and assisted in the drafting and filing of various registration statements under the '33 Act as well as routine '34 Act filings on behalf of several public company clients.
- Assisted in advising New York based airport retailer in the sale of equity interests to a global private equity fund for approximately $800 million.
- Assisted in advising California based mortgage default services provider and law firm in the sale of equity interests and non-legal default services to Boston-based private equity fund for approximately $90 million.
- Assisted in advising Texas based private equity fund in the purchase of a Colorado based construction company for approximately $30 million.
- Advised Atlanta-based private equity fund in the drafting of a private placement memorandum to raise approximately $10 million.
