• Represented an issuer in the structuring of a 506(b) offering and the drafting of a private placement memorandum for the purpose of acquiring consumer packaged goods brands.
• Represented an issuer in the structuring of two 506(b) offerings and the drafting of a private placement memorandum in connection with the same for the purpose of developing and building cocktail bar concepts and unique restaurant concepts throughout the Southeast.
• Represented an issuer in the structuring of two 506(b) offerings and the drafting of a private placement memorandum in connection with the same for the purpose of building Walmart Neighborhood Markets throughout the Southeast.
• Represented a commercial real estate sponsor entity in the structuring of a joint venture for the purpose of acquiring mobile home parks throughout the Southeast.
• Represented a first-time commercial real estate sponsor entity in the structuring of a joint venture for the purpose of acquiring RV campgrounds throughout the East Coast.
• Represented an investor group in a controlling investment in a Cayman Islands company developing a medical device for spinal injuries.

• Represented a Japanese auto parts manufacturer in connection with the unwinding of a joint venture with a German company spanning five countries.
